NationalEnergy Services Reunited Corp. Reports Second Quarter 2025 Financial Results

HOUSTON,August 20, 2025 – National Energy Services Reunited Corp. (“NESR” or the “Company”) (Nasdaq: NESR)(Nasdaq: NESRW), a national, industry-leading provider of integrated energy services in the Middle East and North Africa (“MENA”)region, today reported its financial results as of and for the three months ended June 30, 2025. The Company posted the following resultsfor the periods presented:

*TheCompany presents its financial results in accordance with generally accepted accounting principles in the United States of America (“GAAP”).However, management believes that using additional non-GAAP measures will enhance the evaluation of the profitability of the Companyand its ongoing operations. Please see Tables 1, 2, 3, and 4 below for reconciliations of GAAP to non-GAAP financial measures. The CondensedConsolidated Balance Sheets, Condensed Consolidated Interim Statements of Operations, and Condensed Consolidated Interim Statements ofCash Flows are derived from the unaudited condensed consolidated interim financial statements present in our Period Report on Form 6-Kas of and for the three- and six-month periods ended June 30, 2025.

StefanAngeli, Chief Financial Officer, commented, “notwithstanding global headwinds including OPEC+ supply releases, fully suppliedoil markets, ongoing tariff and trade negotiations, and geopolitical conflicts, NESR achieved revenue growth driven by an increasinglydiversified country and technology mix.

Second quarter 2025 revenue totaled $327.4 million,an increase of 8.0% over first quarter 2025 and just under 1.0% higher than the second quarter of 2024. Adjusted EBITDA was $70.6 million,representing a margin of 21.6%, an improvement of 95 basis points from the prior quarter. Cash flow from operations reached $98.5 millionfor second quarter of 2025, reflecting exceptional working capital performance across all lines. This strong operational execution drovefree cash flow of $68.7 million for the quarter.

Building on the continued strength of our recentfinancial results, we are pleased to report that our Net Debt to trailing twelve-month Adjusted EBITDA ratio further declined to 0.74as of June 30, 2025, an all-time low for the Company. Return on Capital Employed (ROCE) on a trailing twelve-month basis was approximately11%. Operational performance across the region remained strong during the quarter, underpinned by enhanced processes, streamlined procedures,and strengthened internal controls. These back-office improvements have played a critical role in sustaining and accelerating our financialperformance.

We are also pleased to announcethat NESR has successfully remediated the outstanding material weakness identified in our 2024 Annual Report on Form 20-F, and as ofJune 30, 2025, we concluded that our disclosure controls and procedures (as defined in Rules 13(a)-15(e) and 15(d)-15(e) under the SecuritiesExchange Act of 1934, as amended) were effective. With this remediation, the Company has now completed all undertakings required underits August 2024 settlement with the U.S. Securities and Exchange Commission (“SEC”).”

NetIncome and Adjusted Net Income Results

TheCompany had net income for the quarter ended June 30, 2025, totaling $15.2 million, an increase of $4.8 million sequentially. Thisimprovement was primarily driven by fall through on incremental revenue generated by existing equipment and personnel as well ascost control measures implemented during the second quarter of 2025. Adjusted net income for the quarter ended June 30, 2025,was $20.1 million, which includes adjustments totaling $4.9 million (“Total Charges and Credits”), mainly related tocosts associated with the restatement of our 2018-2020 financial statements, including the SEC inquiry and remediation,restructuring projects, and other write-offs and provisions. A complete list of the adjusting items and the associatedreconciliation from GAAP has been provided in Table 1 below in the section entitled “Reconciliation of Net Income and AdjustedNet Income.”

TheCompany reported $0.16 of diluted EPS for the quarter ended June 30, 2025. Adjusted for the impact of Total Charges and Credits, AdjustedDiluted EPS, a non-GAAP measure described in Table 1 below, for the quarter ended June 30, 2025, is $0.21.

AdjustedEBITDA Results

TheCompany produced Adjusted EBITDA of $70.6 million during the quarter ended June 30, 2025, improving 13.0% sequentially. AdjustedEBITDA includes adjustments for certain Total Charges and Credits (those not related to interest, taxes, and/or depreciation and amortization).The Company posted the following results for the periods presented:

BalanceSheet

Cashand cash equivalents are $131.8 million as of June 30, 2025, compared to $108.0 million as of December 31, 2024.

Freecash flow, a non-GAAP measure, for the six months ended June 30, 2025, was $59.1 million, compared to $59.6 million for the same periodin 2024. The slight decrease was primarily attributable to higher accounts receivable levels, largely offset by increased efficiencyin the cash management of accounts payable. A reconciliation of the applicable GAAP measures to free cash flow is presented inTable 3, titled “Reconciliation of Net cash provided by (used in) operating activities to Free Cash Flow.”

Totaldebt as of June 30, 2025, was $354.8 million, of which $131.9 million was classified as short-term, compared to $382.8 million and $128.5million, respectively, as of December 31, 2024. Net Debt, a non-GAAP measure defined as the sum of current installments of long-termdebt, short-term borrowings, and long-term debt less cash and cash equivalents, totaled $223.0 million as of June 30, 2025, comparedto $274.9 million at December 31, 2024. The decrease in Net Debt reflects scheduled long-term debt repayments made during 2025. A reconciliationof the applicable GAAP measures to Net Debt is presented in Table 4, titled “Reconciliation to Net Debt.”

TheCompany uses and presents certain key non-GAAP financial measures to evaluate its business and trends, measure performance, prepare financialprojections and make strategic decisions. Included in this release are discussions of earnings before interest, income tax and depreciationand amortization adjusted for certain non-recurring and non-core expenses (“Adjusted EBITDA”), net income and diluted earningsper share (“EPS”) adjusted for certain non-recurring and non-core expenses (“Adjusted Net Income” and “AdjustedDiluted EPS,” respectively), as well as a reconciliation of these non-GAAP measures to net income and diluted EPS, respectively,in accordance with GAAP. The Company also discusses the non-GAAP balance sheet measure of the sum of our recorded current installmentsof long-term debt, short-term borrowings, and long-term debt less cash and cash equivalents (“Net Debt”) in this releaseand provides a reconciliation to the GAAP measures of cash and cash equivalents, current installments of long-term debt, short-term borrowings,and long-term debt to Net Debt. TheCompany believes that the presentation of Adjusted EBITDA, Adjusted Net Income, and Adjusted Diluted EPS provides useful informationto investors in assessing its financial performance and results of operations as the Company’s board of directors, management andinvestors use Adjusted EBITDA, Adjusted Net Income, and Adjusted Diluted EPS to compare the Company’s operating performance ona consistent basis across periods by removing the effects of changes in capital structure (such as varying levels of interest expense),asset base (such as depreciation and amortization), items that do not impact the ongoing operations (transaction, integration, and startupcosts) and items outside the control of its management team.
