Response to Resolution 3 Voting Result at 2025 Annual GeneralMeeting
In accordance with Provision 4 of the UK CorporateGovernance Code ('Code'), BP p.l.c. ('bp') is providing an updateto the statement made on 17 April 2025 regarding the voting inrelation to Resolution 3 at its Annual General Meeting held on 17April 2025 ('AGM').
At the AGM, shareholders strongly supported the Board'srecommendation to approve Resolution 3. However, we recognise thatsome shareholders (24.28% of votes cast) voted against theresolution.
Prior to that, on 4 April 2025, bp announced that Helge Lund hadinformed the board of his intention to step down in due course andthat a succession process had been initiated.
Since the AGM, bp has engaged with investors in accordance withProvision 4 of the Code, to obtain insights into the reasons forthe voting outcome on Resolution 3.
